EMPEX DIGITAL LTD is a digital services provider based in the United Kingdom. Our core offering is AI automation services, supported by engineering services such as web development, cloud hosting, digital strategy, email infrastructure, and ongoing maintenance.

"Empex", "we", "us" means Empex Digital (the service provider).
"Client", "you" means any person or business engaging our services.
"Services" means the services provided by Empex, as agreed in writing.
"Deliverables" means agreed outputs (e.g., automation workflows, integrations, websites, applications, infrastructure, code, documentation, configuration, content, or related assets).
"AI Automation" means workflows, integrations, and systems that use artificial intelligence to perform or assist tasks across business tools and data sources.
"Third-party Services" means external tools, platforms, APIs, plugins, hosting providers, model providers, payment processors, and software services used as part of delivery.
"Maintenance Plan" means an ongoing support agreement (if purchased) describing included support, monitoring, updates, and response times.
You agree to use our website for lawful purposes only. You may not use the website in any way that causes, or may cause, damage to the site or impair its availability or accessibility.
All services are subject to availability and a written agreement. Payment terms will be outlined in quotes, proposals, statements of work, or invoices. Empex reserves the right to refuse service for any reason, including violations of these terms.
VAT notice: Unless explicitly stated otherwise, any prices displayed on our website are exclusive of VAT. Where VAT applies, it will be added to your invoice or checkout total (if applicable) in accordance with UK rules.
Project scope is defined in a written agreement, proposal, quote, or statement of work. Any work outside the agreed scope may require a revised quote or be billed as out-of-scope work.
Some projects rely on Third-party Services such as domains, hosting, plugins, APIs, model providers, payment processors, or software tools. These services may have their own terms and fees, and (unless expressly included in writing) their costs are the Client's responsibility.

Unless explicitly agreed in writing, Empex does not provide regulated professional advice, and automation is not a substitute for qualified human judgement where required.
All content and materials created by Empex, including code, configurations, automation workflows, designs, and documentation, remain the property of Empex unless otherwise agreed in writing. Where Deliverables are paid in full, Empex grants the Client a licence to use the Deliverables for their intended business purpose. The Client may not resell, redistribute, or publish proprietary templates, code, or systems unless explicitly permitted in writing.
Clients are responsible for providing accurate information, timely feedback, and all necessary access required for project completion. Delays caused by the Client may affect delivery timelines.
For AI automation projects, the Client is responsible for ensuring they have the right to use any data shared with Empex, and for providing access through secure methods. The Client must notify Empex of any sensitive, restricted, or regulated data requirements before implementation.
Deliverables may be provided in stages for review (e.g., audit findings, pilot workflows, staging links, feature milestones). Unless otherwise agreed in writing, the Client agrees to review and provide feedback within a reasonable timeframe to avoid delays.

To the maximum extent permitted by law, Empex will not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services or website. We are not responsible for third-party failures, outages, or technical disruptions beyond our control.
Unless explicitly included in writing, ongoing maintenance, monitoring, content updates, security hardening, and support are not included after project delivery. Where a Maintenance Plan exists, the included tasks, response times, and exclusions will be defined in that plan or agreement.
The Client is responsible for keeping login credentials secure and for providing access through secure methods. We may recommend security measures (e.g., multi-factor authentication, backups, firewall rules, updates). Unless agreed in writing, additional security work may be chargeable.
We may provide services intended to improve visibility in search engines and modern AI search experiences, including content structure and technical foundations. However, we do not guarantee specific rankings, placements, traffic levels, or citations.
Performance depends on factors beyond our control, including competition, algorithm updates, industry trends, third-party platform changes, your content, backlinks, and domain authority.
Paid advertising campaign setup, management, optimisation, and reporting are not included in any Maintenance Plan or SEO services unless explicitly agreed in writing. Paid advertising may be added as an add-on service subject to separate scope and fees.
Refunds will be handled on a case-by-case basis depending on project progress and service type. Cancellations must be made in writing and may incur a cancellation fee.
Our website may include links to external sites. Empex is not responsible for the content or privacy practices of those sites.
Your data is handled in accordance with our Privacy Policy. By using our services, you consent to our use of your personal data as described.
We reserve the right to amend these Terms & Conditions at any time. Updated versions will be posted on this page and will take effect immediately. The “Last updated” date at the top of this page indicates the latest revision.
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

To maintain a professional standard, we follow industry-standard design and content principles. We may decline to upload or implement content that does not align with these standards. We will advise on recommended adjustments where appropriate.
Any additional work not included in the agreed scope or price will be charged at our standard rate of £125 per hour. We will notify you in advance and seek approval before proceeding with out-of-scope tasks.
During development or ongoing service, we may suspend hosted services (including servers or deployments) in situations such as unpaid invoices, material breach of these terms, or prolonged lack of client communication that prevents progress. We will issue warning emails before any suspension.
Re-activating suspended services is subject to a £189 reactivation fee, payable by the client, and full settlement of any overdue amounts. The reactivation fee covers the technical process of bringing services back online and does not include additional development time, data restoration beyond standard backups, or resolution of underlying issues causing the suspension, which may be billed separately.
